Terms of Service

These Terms are an agreement between you and Shadyne LLC, a Utah limited liability company, which operates Agency Stack as an assumed name (DBA). “We”, “us” and “our” mean Shadyne LLC. By creating an account or using the service you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and “you” means that company.

1. The service

Agency Stack is a workspace for marketing agencies to manage client accounts, delivery and reporting, including optional connections to third-party marketing platforms. We may change or improve features over time; we will not materially degrade a paid feature without notice.

2. Accounts and eligibility

• You must be 16 or older and able to form a binding contract.
• Account details must be accurate, and you are responsible for activity under your credentials.
• Keep your credentials secret and tell us promptly at legal@agencystack.ai if you suspect unauthorised access.
• Your account owner controls roles, permissions and which members can reach which client records.

3. Trial and fees

New workspaces may begin on a time-limited trial with no payment and with caps on seats and on platform-funded usage. Where a plan is paid, fees, billing period and included usage are shown at purchase. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and usage beyond an included allowance may be charged separately.

4. Your content

You keep all rights in the data and content you put into the service. You grant us only the licence needed to host, process, transmit and display it in order to operate the service for you. You are responsible for having the rights and lawful basis to submit it.

5. Connecting third-party accounts

The service can connect to platforms including Google (Search Console, Business Profile, Ads, Analytics) and Meta (Ads, Pages, Instagram). When you connect an account:

• You warrant that you are authorised to do so. Where the account belongs to a client, you confirm that client has instructed or permitted you to connect it and to let Agency Stack access it on their behalf.
• You authorise us to access that account to provide the features you use, as described in our Privacy Policy.
• Your use of each platform remains subject to that platform’s own terms and policies, which you agree to comply with. Those terms prevail over these where they conflict in respect of that platform’s data.
• Third-party platforms are outside our control. We are not responsible for their availability, their data accuracy, or changes they make to their APIs.
• You may disconnect at any time; doing so revokes our access and deletes the stored credentials.

6. Acceptable use

You must not:

• Send unsolicited bulk email, or use the service for spam.
• Access data belonging to an account you have no authority over, or try to reach another customer’s workspace.
• Probe, scan, overload or circumvent the service’s security, rate limits or usage caps.
• Reverse engineer the service, or resell it except under a reseller or white-label arrangement we have agreed in writing.
• Upload malware, or content that is unlawful, infringing or deceptive.
• Create accounts on behalf of others without their authorisation.
• Use AI features to generate content that is deceptive, defamatory, or published in breach of a platform’s policies. Output is generated automatically; you are responsible for reviewing it before publication.

7. Availability and support

We aim for high availability but do not promise uninterrupted service unless a separate written agreement says so. Maintenance may cause planned downtime, which we will try to schedule considerately.

8. Intellectual property

The service, its software and its branding remain ours. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, and nothing more.

9. Confidentiality

Each party will protect the other’s non-public information with at least reasonable care and use it only to perform under these Terms.

10. Suspension and termination

You may stop using the service and delete your workspace at any time. We may suspend or terminate access for material breach of these Terms, for non-payment, or where continued use poses a security or legal risk — with notice where practical, and immediately where not. On termination your data is handled as described in our Privacy Policy and Data deletion page.

11. Disclaimers

Except as expressly stated, the service is provided “as is” without warranties of any kind, to the fullest extent the law allows. We do not warrant that metrics obtained from third-party platforms are complete or accurate, nor that the service will produce any particular marketing outcome.

12. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to these Terms is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded.

13. Indemnity

You will indemnify us against claims arising from your content, your use of the service in breach of these Terms, or your connection of an account you were not authorised to connect.

14. Changes to these Terms

Material changes bump the version above, and you will be asked to accept the new version when you next sign in. Continued use after a change means you accept it.

15. Governing law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules, and the state and federal courts located in Utah have exclusive jurisdiction — without prejudice to any mandatory consumer protections in your country of residence.
